All architectural plans, drawings, specifications, and designs created by NAT Construction LLC for a client project remain our intellectual property unless otherwise agreed in writing. Clients are granted a limited license to use such materials solely for the construction and maintenance of the specific project for which they were created.
You retain all rights to any content or information you submit, post, or display on or through our website or provide to us in connection with our services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing our services to you.
NAT Construction LLC provides construction, masonry, remodeling, and related services as described on our website and in our marketing materials. The specific scope, timeline, and cost of services will be detailed in a written agreement between NAT Construction LLC and the client. No binding obligation to perform services exists until both parties have signed a written agreement.
Any estimates provided by NAT Construction LLC are based on the information available at the time of estimation, including current material prices, labor rates, and the scope of work as understood at that time. Estimates are valid for thirty days from the date of issuance unless otherwise stated. Actual costs may vary due to changes in material prices, unforeseen site conditions, changes requested by the client, or other factors beyond our reasonable control.
All construction services are subject to applicable building codes, zoning regulations, permit requirements, and other governmental requirements. The client is responsible for providing accurate information about their property and project requirements. NAT Construction LLC will obtain all necessary building permits unless otherwise agreed in writing.
We reserve the right to refuse any service request at our sole discretion. We may limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, or orders that use the same billing or shipping address.
Payment terms for construction services will be specified in the written agreement between NAT Construction LLC and the client. Standard payment terms require an initial deposit upon execution of the agreement, with progress payments due at specified milestones throughout the project, and final payment due upon substantial completion of the work.
All payments must be made in United States dollars. Accepted payment methods include cash, personal checks, cashiers checks, money orders, and bank transfers. Credit card payments may be accepted for certain transactions subject to applicable processing fees.
Late payments may be subject to interest charges at the rate of one and one-half percent per month or the maximum rate permitted by applicable law, whichever is less. NAT Construction LLC reserves the right to suspend work on any project if payments are not made in accordance with the agreed payment schedule.
The client shall pay all applicable federal, state, and local taxes associated with the services provided unless valid tax exemption documentation is provided prior to the commencement of services. Sales tax will be applied to materials as required by Utah state law.
Any changes to the scope of work after the execution of a written agreement must be documented in a written change order signed by both parties. Change orders will specify the nature of the change, any impact on the project timeline, and any adjustment to the total contract price. NAT Construction LLC will not perform work beyond the original scope without an approved change order.
Either party may terminate a construction agreement in accordance with the termination provisions set forth in the written agreement. If the client terminates the agreement without cause, the client shall pay NAT Construction LLC for all work completed through the date of termination, plus any costs incurred as a direct result of the termination including restocking fees for custom materials and demobilization costs.
NAT Construction LLC may terminate an agreement if the client fails to make payments when due, fails to provide necessary access to the project site, or otherwise breaches any material term of the agreement. In such event, the client shall pay for all work completed and costs incurred through the date of termination.
NAT Construction LLC warrants that all construction services will be performed in a workmanlike manner consistent with industry standards in the State of Utah. We warrant that all materials used will be as specified in the written agreement and will be free from defects for the warranty period specified by the material manufacturer.
Our standard workmanship warranty extends for a period of one year from the date of substantial completion of the project, unless a longer period is specified in the written agreement. This warranty covers defects in workmanship but does not cover damage resulting from normal wear and tear, improper maintenance, alterations by others, natural disasters, or acts of God.
All warranties provided by material manufacturers and equipment suppliers are the sole responsibility of those manufacturers and suppliers. NAT Construction LLC will assist clients in pursuing any manufacturer warranty claims but does not assume liability for manufacturer defects beyond the applicable warranty terms.
Our website and its content are provided on an as is and as available basis without any representations or warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, NAT Construction LLC disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the website will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components. We do not make any warranties regarding the accuracy, completeness, reliability, or currency of any content on our website.
To the fullest extent permitted by applicable law, NAT Construction LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of use, or business interruption, whether such damages are based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.
The total liability of NAT Construction LLC for any claims arising out of or relating to these terms, our website, or our construction services shall not exceed the total amount paid by you to NAT Construction LLC for the specific services giving rise to the claim during the twelve-month period preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Therefore, some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
You agree to indemnify, defend, and hold harmless NAT Construction LLC and its members, managers, officers, employees, agents, subcontractors, suppliers, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees including reasonable attorneys fees arising out of or relating to your use of our website, your violation of these Terms of Service, your violation of any third-party rights, or your negligence or willful misconduct in connection with a construction project.
This indemnification obligation shall survive the termination of these Terms of Service and any individual construction services agreement. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.
You agree that you will not settle any claim that affects NAT Construction LLC or its affiliates without our prior written consent. We will make reasonable efforts to notify you of any claim, action, or proceeding that may give rise to an indemnification obligation on your part.
Any dispute, controversy, or claim arising out of or relating to these Terms of Service, our website, or our construction services shall first be addressed through good-faith negotiations between you and NAT Construction LLC. You agree to notify us in writing of any dispute and to allow a period of at least thirty days for informal resolution before pursuing any other remedy.
If the dispute cannot be resolved through informal negotiations, the parties agree to submit the dispute to mediation administered by a mutually agreed-upon mediator in Weber County, Utah. The costs of mediation shall be shared equally by the parties. If mediation fails, either party may pursue any remedies available at law or in equity.
You agree that any claim or cause of action arising out of or related to these terms or our services must be filed within one year after such claim or cause of action arose, or it shall be forever barred. You waive any right to participate in a class action lawsuit or class-wide arbitration against NAT Construction LLC.
These Terms of Service are effective until terminated by either you or NAT Construction LLC. You may terminate these terms at any time by discontinuing use of our website and notifying us that you no longer wish to receive our services. Termination of these terms does not affect any rights or obligations that have accrued prior to termination.
We may terminate or suspend your access to our website and our services immediately, without prior notice or liability, for any reason, including without limitation if you breach any provision of these Terms of Service. Upon termination, your right to use our website and services will immediately cease.
All provisions of these Terms of Service that by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability. Termination of these terms does not terminate any existing construction services agreement, which will continue to be governed by its own terms.
These Terms of Service and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Weber County, Utah, for the resolution of any disputes arising out of or relating to these Terms of Service or our services. You waive any objection to venue or forum on the grounds of inconvenience or otherwise.
If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to reflect the parties intention as closely as possible, and the remaining provisions shall continue in full force and effect.
These Terms of Service, together with our Privacy Policy and any written construction services agreement, constitute the entire agreement between you and NAT Construction LLC regarding your use of our website and our services, superseding any prior agreements between you and NAT Construction LLC.
No waiver by NAT Construction LLC of any term or condition set forth in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of NAT Construction LLC to assert a right or provision under these terms shall not constitute a waiver of such right or provision.
If any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these terms. Such determination shall not affect the validity and enforceability of any other remaining provisions.
You may not assign or transfer any of your rights or obligations under these Terms of Service without the prior written consent of NAT Construction LLC. NAT Construction LLC may assign or transfer its rights and obligations under these terms without restriction, including to any affiliate or in connection with a merger, acquisition, or sale of assets.
NAT Construction LLC shall not be liable for any failure or delay in performance of its obligations under these terms or any construction services agreement caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, material shortages, government actions, or severe weather conditions.
Any notices required or permitted under these Terms of Service shall be in writing. Notices to you may be sent to the email address or physical address you have provided to us.
Nothing in these Terms of Service shall be construed as creating a partnership, joint venture, agency, or employment relationship between you and NAT Construction LLC. You have no authority to bind NAT Construction LLC in any respect. NAT Construction LLC is an independent contractor in all respects.
These Terms of Service are for the sole benefit of you and NAT Construction LLC and are not intended to confer any rights or benefits upon any third party. No third party shall have any right to enforce any provision of these terms.
When you visit our website or send emails to us, you are communicating with us electronically. You consent to receive communications from us electronically.
